1. Agreement

These terms govern your use of hotbutter.io and the products and services offered by Hot Butter Labs LLC ("Hot Butter", "we", "us"), a limited liability company based in Albany, New York. By using the site or the services you agree to them. If you are agreeing on behalf of a company, you confirm you are authorized to bind it.

A signed order form or written agreement covering a specific engagement takes precedence over these terms where the two conflict.

2. The services

We provide software and services for analyzing and operating ecommerce listings, including audits, recommendations, and automated execution of changes you have approved. Features change over time; we may add, modify, or discontinue functionality, and will give reasonable notice before removing something you materially depend on.

3. Your account and your data

You are responsible for the accuracy of the information you give us, for keeping your credentials secure, and for all activity under your account. You retain ownership of your data. You grant us a limited license to process it solely to deliver, secure, and support the services.

You are responsible for ensuring you have the rights and authorizations needed to connect any third-party account (for example a marketplace seller account) to our services.

4. Acceptable use

• Do not use the services to break the law or to violate a third party's rights.
• Do not attempt to disrupt, reverse engineer, or gain unauthorized access to the services or the accounts of others.
• Do not resell or provide access to the services to third parties without our written agreement.
• Do not submit malicious code or content you have no right to submit.

5. Automated changes and approval

Where our services apply changes on your behalf, they act on the scope and permissions you configure. You remain responsible for reviewing your automation settings and for the commercial outcome of approved or auto-approved changes. We provide rollback and audit tooling but do not guarantee that any change can be reversed by a third-party platform.

6. Fees

Paid plans are billed in advance at the rates on your order form or on the site at the time of purchase. Fees are exclusive of taxes. Unless required by law or stated otherwise in writing, payments are non-refundable. We may change pricing on renewal with at least 30 days' notice.

7. Third-party platforms

Our services interact with platforms we do not control. We are not responsible for their availability, policies, or decisions, and their terms continue to apply to you. Hot Butter is not affiliated with or endorsed by any marketplace unless expressly stated.

8. Intellectual property

We own the services, our software, and our brand. Nothing here transfers those rights to you beyond the right to use the services under these terms. Feedback you send us may be used freely and without obligation.

9. Confidentiality

Each party will protect the other's non-public information with at least reasonable care and use it only for the purpose of this agreement.

10. Warranties and disclaimers

We will provide the services with reasonable skill and care. Otherwise the services are provided "as is". To the maximum extent permitted by law we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant any particular commercial result, ranking, or sales outcome.

11. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total aggregate liability arising out of or relating to the services is limited to the amounts you paid us in the twelve months before the event giving rise to the claim. Nothing here limits liability that cannot be limited by law.

12. Term and termination

You may stop using the services at any time. Either party may terminate for material breach that is not cured within 30 days of written notice. We may suspend access immediately where continued use poses a security or legal risk. On termination we will make your data available for export for 30 days, then delete it.

13. Changes to these terms

We may update these terms. Material changes take effect 30 days after we post them or notify you, and continued use after that constitutes acceptance.

14. Governing law

These terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules, and the parties submit to the exclusive jurisdiction of the state and federal courts located in Albany County, New York.
